t Eorthers were in partnership previous to the decease of said ¦ Linz for the puri:'Ose of carrying on the fishing business, ''under the finn name of Lay Brothers & Linz- That said part-^ nership is indebted in a larf;;e amount of money, the propor¬ tionate share of said Liruz in said indebtedness arriountine to 0<3JjO7.3P, that the property belonging to said partnership consists of eleven (11) pox^nd^ nets, one (1) boat, and other property connected with said fishing, necessary for carrying on said business. That the indebtedness of said finn arnounts to a large sum of money, more than the value of said fishii-y:? pounds and other goods connected therewith. '
It is therefore agreed between the parties that said Lay Brothers shall assiane and pay all the debts of said f inn of Lay Brothers & Linz and hold said Linz and his estate harmless therefrom, and in consideration thereof, we sell, assign, and transfer to said fiirn of Lay Brothers, all of our right, title -and interest in and to the said fishing ponrids «rd Other property belonging to said fiim of ^.ay Brothers & ixjax, and all the interest of said GUnrad Linz therein to be the property of said Lay Brothers forever, and said Lay Brothers are to cancel all oblirTations that they may have against said Cunrad Linz or his estate.
